1. GENERAL TERMS
1.1 Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of TelEcho’s services. “TelEcho,” “we,” “our,” or “us” refers to TelEcho and its affiliates. “Services” means the cloud-based real-time communication, voice, audio, AI-enabled, and related services provided through https://telecho.io and associated platforms, APIs, dashboards, or tools. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services. If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
1.2 Related Policies
Your use of the Services is also governed by our Privacy Policy, Acceptable Use Policy, and any other policies we publish from time to time (collectively, the “Policies”). These Policies are incorporated by reference into these Terms.
1.3 No Reliance on Future Features
You acknowledge that your decision to use or purchase the Services is not dependent on the delivery of any future functionality or features, whether discussed publicly or privately.
2. USE OF THE TELECHO SERVICES
2.1 Account Registration
To access certain Services, you must create an account and provide accurate, complete, and current information. You are responsible for safeguarding your credentials and for all activities that occur under your account. You must notify TelEcho immediately if you suspect unauthorized access.
2.2 Compliance With Laws
You agree to use the Services in compliance with all applicable laws and regulations, including data protection, telecommunications, export control, and AI-related laws. You may not use the Services if you are prohibited from doing so under applicable sanctions or export laws.
2.3 Usage Limits
Your use of the Services may be subject to usage limits, quotas, or technical restrictions based on your plan. Exceeding these limits may result in throttling, additional fees, suspension, or termination.
2.4 Authorized Users
You may invite additional users to access your account. You are fully responsible for their actions and compliance with these Terms.
2.5 Service Availability
We aim to provide the Services on a continuous basis but do not guarantee uninterrupted availability. Scheduled maintenance, upgrades, or events beyond our control may cause temporary outages.
2.6 Artificial Intelligence Use
Some TelEcho features may use AI or machine learning technologies. You agree: Not to use AI-powered features for unlawful, deceptive, or high-risk use cases prohibited by applicable regulations. To inform end users when they interact with AI-powered agents, where required by law. That TelEcho may suspend access if usage violates applicable AI or data protection laws.
3. LICENSE AND RESTRICTIONS
3.1 License Grant
Subject to these Terms, TelEcho grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services solely for your internal or commercial business purposes.
3.2 Restrictions
- Reverse engineer, decompile, or attempt to extract source code
- Circumvent security or usage limits
- Use the Services to build a competing product
- Resell or redistribute the Services without authorization
- Use the Services for spam, fraud, harassment, or illegal activity
- Use the Services for emergency calling unless explicitly supported
3.3 Open Source Components
Some parts of the Services may include open-source software governed by separate licenses. Those licenses apply to the relevant components.
4. THIRD-PARTY SERVICES
4.1 Third-Party Integrations
The Services may integrate with third-party tools, APIs, carriers, or AI providers (“Third-Party Services”). TelEcho does not control these services and is not responsible for their availability, performance, or data practices. Your use of Third-Party Services is subject to their respective terms and policies.
4.2 AI & Model Providers
If you route data to third-party AI or inference providers through TelEcho, you are responsible for ensuring compliance with their data usage and retention policies.
5. PRIVACY AND DATA PROTECTION
TelEcho processes personal data in accordance with its Privacy Policy and applicable data protection laws. You are responsible for ensuring that you have lawful grounds to process any data you submit through the Services. TelEcho does not use customer content to train proprietary AI models unless explicitly stated and agreed.
6. FEES AND PAYMENTS
6.1 Fees
You agree to pay all applicable fees associated with your use of the Services according to the pricing displayed at the time of purchase or in your account dashboard. Fees may include subscription fees, usage-based charges, and overage fees.
6.2 Billing and Invoices
Payments are billed automatically unless otherwise agreed. Late payments may result in suspension or termination.
6.3 Taxes
All fees are exclusive of taxes. You are responsible for paying all applicable taxes except for taxes based on TelEcho’s income.
7. CONTENT AND DATA
7.1 Your Content
You retain ownership of all content, data, audio, text, or media you submit through the Services (“Content”). You grant TelEcho a limited license to process Content solely to provide, maintain, and improve the Services.
7.2 Prohibited Content
You may not use the Services to transmit or store content that is illegal, abusive, defamatory, sexually explicit, hateful, or otherwise objectionable. TelEcho reserves the right to remove content and suspend accounts that violate these Terms.
7.3 Data Retention
TelEcho may retain certain operational or diagnostic data for limited periods to ensure service reliability, compliance, and security.
8. INTELLECTUAL PROPERTY
All rights, title, and interest in the Services, including trademarks, software, and infrastructure, belong to TelEcho or its licensors. Nothing in these Terms transfers ownership to you.
9. FEEDBACK AND IDEAS
If you submit feedback or suggestions, you grant TelEcho a perpetual, irrevocable, royalty-free license to use them without obligation.
10. MODIFICATION AND TERMINATION
10.1 Changes to Services or Terms
We may update the Services or these Terms from time to time. Continued use after changes become effective constitutes acceptance.
10.2 Termination
You may terminate your account at any time. TelEcho may suspend or terminate access for violations, non-payment, or legal compliance reasons.
11. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TELECHO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TELECHO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES. TELECHO’S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. INDEMNIFICATION
You agree to indemnify and hold harmless TelEcho from any claims arising out of your use of the Services, Content, or violation of these Terms.
14. EXTERNAL LINKS
The Services may contain links to third-party websites. TelEcho is not responsible for their content or practices.
15. GOVERNING LAW
These Terms are governed by the laws of the jurisdiction in which TelEcho is incorporated, without regard to conflict of law principles.
